1. Introduction

These Terms of Sale ("Terms") govern every purchase you make through the OnCheckout platform, operated by OnCheckout LTDA("OnCheckout," "we," "us," or "our"). By selecting "Pay Now," "Complete Purchase," or any equivalent button at checkout, you enter into a binding agreement with OnCheckout under these Terms, our Refund and Return Policy, our Subscription Cancellation Policy, and our Privacy Policy.

If you do not agree with these Terms, do not complete the purchase.

2. OnCheckout as Merchant of Record

OnCheckout is the Merchant of Record for every transaction processed through the platform. This means that OnCheckout is the seller of record on your billing statement and is responsible for:

  • Charging your payment method.
  • Issuing electronic receipts.
  • Handling refund requests and chargeback inquiries.
  • Remitting any applicable taxes and fees.

The underlying product is supplied by an independent third party referred to in these Terms as the "Vendor" (the entity that lists and distributes the product on the OnCheckout platform). The original creator of intellectual property included in the product is referred to as the "Author." Vendor and Author may be the same entity or distinct parties.

OnCheckout does not author or independently verify the substantive claims made by Vendors and Authors regarding their products. Vendor and Author obligations toward you are governed by their own product terms, which are made available at checkout where applicable.

3. Acceptance of Terms

By completing a purchase, you confirm that:

  • You are at least eighteen (18) years of age and legally capable of entering into a binding contract.
  • The information provided at checkout is accurate and complete.
  • You are authorized to use the payment method submitted.
  • You are purchasing for your personal use unless a commercial license is expressly granted by the Vendor.

4. Pricing and Currency

Each product is priced in the currency selected by the Vendor for that product (most commonly USD, BRL, EUR, or GBP). The currency and the exact amount you will be charged are clearly displayed on the checkout page before you confirm the order. Prices may include applicable taxes where OnCheckout is required to collect them.

If the product's currency differs from the currency of your payment method, your card issuer or bank will perform the foreign exchange conversion at a rate determined by that institution. OnCheckout does not control conversion rates and is not responsible for any difference between the amount displayed at checkout and the amount that ultimately appears on your statement in your local currency. Foreign transaction fees imposed by your card issuer are likewise outside our control.

Prices are subject to change without prior notice. The price applicable to your purchase is the price displayed at the moment you confirm the order.

5. Statement Descriptor

Charges processed by OnCheckout appear on cardholder statements as:

ONCHECKOUT LTD* [PRODUCT NAME]

The first segment identifies the Merchant of Record (OnCheckout). The second segment identifies the product purchased and is limited by network rules to a short alphanumeric string. See our Statement Descriptor Reference for guidance on identifying a charge.

6. Authorization to Charge

By submitting your payment information, you authorize OnCheckout (and its payment service providers, including Stripe and other regulated processors) to:

  • Charge the payment method for the total amount displayed at checkout.
  • Charge applicable taxes and fees disclosed at checkout.
  • Where you have purchased a subscription, initiate recurring charges in accordance with the cadence disclosed on the checkout page and our Subscription Cancellation Policy.
  • Re-attempt failed charges as described in Section 7 of the Cancellation Policy.

This authorization remains in effect until the underlying transaction is completed or the subscription is cancelled in accordance with our policies.

7. Refunds

Refund eligibility, request procedures, and processing timelines are described in full in our Refund and Return Policy. The default refund window is seven (7) days for digital products and thirty (30) days for physical goods; individual Vendors may extend these windows on their product page.

8. Subscription Billing

If your purchase is a subscription, the recurring billing terms, cancellation procedures, renewal reminders, and proration rules are set forth in our Subscription Cancellation Policy.

9. Disclaimers

Products are provided "as is" and "as available." OnCheckout makes no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, accuracy, or non-infringement of products supplied by Vendors. Statements made by Vendors or Authors regarding outcomes, returns, or results are the sole responsibility of those parties.

10. Limitation of Liability

To the maximum extent permitted by law, OnCheckout's aggregate liability arising out of or relating to any purchase shall not exceed the amount actually paid by you for the specific transaction giving rise to the claim. OnCheckout shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of goodwill.

11. Dispute Resolution

We strongly encourage you to contact us first at support@oncheckout.com.br or via the ticket form before pursuing formal dispute mechanisms. Most concerns are resolved within one to two business days.

If a dispute cannot be resolved through direct communication, the parties agree that the dispute shall be submitted to binding arbitration seated in Florianópolis, Santa Catarina, Brazil, conducted in Portuguese or English at the election of the claimant, under the rules of a recognized arbitral institution agreed by the parties. The arbitral award shall be final and enforceable in any court of competent jurisdiction.

12. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws principles.

13. Privacy

Your personal data is processed in accordance with our Privacy Policy. For privacy inquiries, contact privacy@oncheckout.com.br.

14. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force. These Terms, together with the policies referenced herein, constitute the entire agreement between you and OnCheckout with respect to the purchase.
